ACTIVITY WAIVER, RELEASE, AND INDEMNITY AGREEMENT

In consideration of being permitted to participate in workout classes hosted, sponsored, managed or run by employees of Valli Ventures, LLC (“Valli Ventures”), whether or not on Valli Ventures (as herein defined) owned or leased property (collectively, the "Activities”), I do hereby agree to waive, release, and indemnify, hold harmless and forever discharge Valli Ventures and its affiliates (collectively, “Valli Ventures”) and Valli Ventures’ agents, employees, officers, members, directors, successors and assigns (collectively, “Releasees”), from any and all responsibilities or liabilities, including those caused by negligent acts or omissions of Releasees (as hereinafter defined), resulting from, arising out of, or in any way connected with my participation in the Activities.

I understand that my participation in the Activities is completely voluntary and such Activities are provided for my convenience and enjoyment. By participating in the Activities I represent that I have not been instructed by a medical professional to refrain from participating in such activity or that my participation would cause harm to myself or others. I understand that participation in the Activities could be dangerous and may cause serious or grievous injuries, including bodily injury, damage to personal property and/or death and that I am assuming any and all risk, associated with, related to, or arising out of my participation in the Activities. On behalf of myself, my heirs, executors, and assigns, I understand that I am hereby waiving any and all claims for damages, injuries and death that I may have against Releasees as a result of my participation in the Activities. 

This Waiver, Release, and Indemnity Agreement contains the entire agreement between the parties, and supersedes any prior written or oral agreements between them concerning the subject matter of this Waiver, Release, and Indemnity Agreement. The provisions of this Waiver, Release, and Indemnity Agreement may not be waived, altered, amended or repealed, in whole or in part, without the written consent of all parties.

The provision of this WAIVER AND RELEASE will continue in full force and effect even after the termination of the Activities, whether by agreement, by operation of law, or otherwise.

This Waiver, Release, and Indemnity Agreement shall be governed by, and construed in accordance with the laws of the State of New York, without taking into account conflicts of laws principles.

If a court of competent jurisdiction holds any part of this Waiver, Release, and Indemnity Agreement to be invalid, it shall not affect the other provisions of this Waiver, Release, and Indemnity Agreement.

I have read, understand and fully agree to the terms of this Waiver, Release, and Indemnity Agreement. I understand and confirm that by signing this Waiver, Release, and Indemnity Agreement I have given up considerable future legal rights. I have signed this Waiver, Release, and Indemnity Agreement freely, voluntarily, under no duress or threat of duress, without inducement, promise or guarantee being communicated to me.
